GenTechN Terms of Use

1. Overview

These Terms of Use ("Terms") govern your access to and use of the GenTechN platform, including any websites, APIs, dashboards, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" refers to both you as an individual and that entity.

2. Eligibility & Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate and up-to-date information when creating an account and to promptly update any information that changes.

3. Acceptable Use

You agree not to misuse the Service. In particular, you will not:

• Use the Service to violate any applicable law or regulation, including those related to data protection, intellectual property, and export control.
• Use the Service to generate or distribute harmful, illegal, or abusive content, including but not limited to hate speech, harassment, or content that promotes violence.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems, or probe, scan, or test the vulnerability of any system without permission.
• Reverse engineer, decompile, or otherwise attempt to derive the source code or underlying models, except as permitted by law.

4. Plans, Payments & Subscriptions

Access to certain features of the Service may require a paid subscription (such as "Pro" or "Enterprise" plans). By starting a subscription, you authorize us or our payment processor to charge the applicable fees to your selected payment method.

Fees are typically billed in advance on a recurring basis (e.g. monthly or annually) and are non-refundable, except where required by law or explicitly stated otherwise. You are responsible for all applicable taxes associated with your subscription.

We may change our pricing with prior notice. Any changes to fees for existing subscriptions will apply at the start of your next billing cycle unless otherwise communicated.

5. Content & Intellectual Property

You retain ownership of any content, prompts, or data you submit to the Service ("Your Content"). You grant us a limited license to process Your Content solely to provide, maintain, and improve the Service.

The Service, including all software, design, text, graphics, logos, and other materials, is owned by us or our licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, we reserve all rights in and to the Service.

6. Third-Party Models & Services

GenTechN may integrate with or enable you to connect to third-party services, APIs, or AI models. Your use of those third-party services is subject to their own terms and privacy policies, which you are responsible for reviewing.

We do not control and are not responsible for third-party services. We may, at our discretion, enable or disable certain integrations based on technical, security, or business considerations.

7. Disclaimer & Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of the Service.

Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid for the Service in the twelve (12) months prior to the event giving rise to the claim, or (b) one hundred (100) US dollars, to the extent permitted by law.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms or if your use poses a risk to the Service, other users, or third parties.

Upon termination, your right to access the Service will cease, but certain sections of these Terms will continue to apply, including those related to intellectual property, disclaimers, limitations of liability, and governing law.

9. Governing Law & Disputes

These Terms will be governed by and construed in accordance with the laws of the United States and, to the extent applicable, the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in the State of Delaware, United States, unless otherwise required by applicable law.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice, such as by updating the "Last updated" date, posting a notice in the dashboard, or sending an email. Your continued use of the Service after the changes become effective constitutes acceptance of the updated Terms.
